Terms of Service

1. Who we are

Fulfill Button is owned and operated by PGBDIC LLC, an Illinois limited liability company (“PGBDIC LLC,” “we,” “us,” or “our”). These Terms of Service (“Terms”) are an agreement between PGBDIC LLC and the business or individual that creates a Fulfill Button account (“Merchant,” “you,” or “your”). By creating an account or using Fulfill Button, you agree to these Terms.

2. What Fulfill Button does

Fulfill Button lets you place purchase buttons and purchase links on web pages, including pages operated by your partners. Customers pay through checkout on your own Stripe account, and paid orders are sent for fulfillment through Amazon Multi-Channel Fulfillment from inventory in your Amazon account. Fulfill Button also provides order information and optional reports.

3. Your Stripe, Amazon, and other accounts

You must have and maintain your own accounts with Stripe, Amazon, and any other service you connect, and you are responsible for complying with their terms, fees, and requirements. Those services are provided by third parties, not by PGBDIC LLC. We are not a party to your agreements with them and are not responsible for their availability, decisions, fees, holds, or errors. Fulfill Button is not affiliated with or endorsed by Amazon or Stripe.

4. You are the seller

You are the seller and merchant of record for every sale made through your buttons and links. You are solely responsible for your products and their safety and legal compliance; product information and pricing; taxes; shipping, return, refund, and customer support policies; customer communications; refunds, chargebacks, and disputes; and compliance with all laws that apply to your business, including consumer protection, privacy, and advertising and endorsement disclosure rules.

5. Partners

You choose your partners and are solely responsible for your relationships with them, including any agreements, disclosures, commissions, billing, and payments. PGBDIC LLC does not recruit partners, guarantee partner traffic or sales, or pay partners on your behalf.

6. Reports and data

Reports, exports, and commission calculations are supporting information for your own records and reconciliation. They depend on data from third parties and may be incomplete, delayed, or marked unavailable. They are not accounting, tax, legal, or financial advice, not invoices, and not confirmation that any payment has been made. You are responsible for verifying information against your own and your providers’ records.

7. Data we process

To provide checkout and fulfillment, we process order information, including payment confirmations and related events from Stripe, customer shipping details needed by Amazon, refunds, disputes, and shipment status. This happens even for buttons with reporting turned off. Our Privacy Policy, to be published before launch, describes how we handle this information.

8. Fees

You agree to pay the Fulfill Button subscription fees for your plan as published at the time you subscribe. Fees charged by Stripe, Amazon, and other third parties are separate and are your responsibility.

9. Acceptable use

You may not use Fulfill Button to sell prohibited, counterfeit, or unlawful products; to mislead customers; to infringe anyone’s rights; to interfere with or attempt to gain unauthorized access to the service; or in violation of Stripe’s or Amazon’s policies. We may suspend buttons or accounts that we reasonably believe violate these Terms.

10. Indemnification

You will defend, indemnify, and hold harmless PGBDIC LLC and its members, managers, officers, employees, contractors, and agents (together, the “PGBDIC LLC Parties”) from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

1. your products, product information, pricing, listings, and sales;
2. your customers and your dealings with them, including taxes, shipping, returns, refunds, chargebacks, and disputes;
3. your partners and any agreements, disclosures, commissions, or payments involving them;
4. your websites, pages, content, and placements, and those of your partners where your buttons or links appear;
5. your use of Stripe, Amazon, or any other third-party service;
6. your breach of these Terms; or
7. your violation of any law or of any third party’s rights.

PGBDIC LLC may participate in the defense of any claim with counsel of its choice at its own expense. You may not settle any claim in a way that imposes any obligation or admission on a PGBDIC LLC Party without PGBDIC LLC’s prior written consent.

11. Disclaimers

Fulfill Button is provided “as is” and “as available.” To the fullest extent permitted by law, PGBDIC LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee sales, conversion, traffic, inventory availability, fulfillment outcomes, or uninterrupted or error-free service.

12. Limitation of liability

To the fullest extent permitted by law, the PGBDIC LLC Parties will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. The PGBDIC LLC Parties’ total liability for all claims relating to Fulfill Button will not exceed the subscription fees you paid to PGBDIC LLC in the twelve months before the event giving rise to the claim.

13. Term and termination

You may stop using Fulfill Button at any time. We may suspend or terminate your access for violation of these Terms or as required by law or by our providers. Sections that by their nature should survive termination, including sections 4 through 7 and 10 through 14, will survive.

14. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Illinois, and you consent to their jurisdiction.

15. Changes

We may update these Terms. If we make material changes, we will notify you before they take effect. Continued use after the effective date means you accept the updated Terms.
